Thank you for using our products and Services (“Services”). These Services are provided by InsideHIT Inc. (InsideHIT, Us, We, Our, Provider). By utilizing our Services, you (End User, User, You, Your) are agreeing to and accepting the terms and conditions set forth in this agreement. Please read this information carefully. Our Services are diverse, and sometimes additional terms and requirements may apply. Any additional terms and requirements will become part of your agreement with us if you use those Services. We reserve the right to modify this agreement from time to time. IF AT ANY TIME YOU DO NOT AGREE WITH ANY OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT, YOU SHOULD NOT USE OUR SERVICES.
Trademark and Patent
The name “InsideHIT” is a Registered Trademark of InsideHIT, Inc. The Services provided by InsideHIT, Inc. are Patent Pending.
The Services provided can be utilized in a variety of ways, such as, to search for and share information, to communicate with other people, or to create new content. When a User shares information with the Provider, for example by creating an lnsideHlT account, the Provider can enhance those Services provided by providing the User with more relevant search results and ads, to help the User connect with people, or to make sharing with others quicker and easier. As the User utilizes the Services provided, it is the intent of this agreement to clarify the terms and conditions of the Provider/User relationship as well as the methods employed to protect the User’s privacy. The terminology used herein has been purposefully kept as basic as possible. However, if the User is not familiar with terms such as cookies, IP addresses, pixel tags, browsers, etc., then User should learn about these important terms. The User’s privacy matters to lnsideHlT, so whether the User is new to lnsideHlT or a long-time User, please get to know the Provider’s practices. If the User has any questions, please contact InsideHIT for further explanation.
The Provider collects information to provide better Services to all User’s – from figuring out basic information such as which language is spoken, to more complex things like which ads a User will find most useful or the people who are most important or valuable to the User online. Information is collected in several ways, some of which are described herein.
Information Provided by the User
Many of the Services provided require the User to establish an lnsideHlT account. When the User creates a personal account, the Provider will ask for personal information, such as, the User’s name, email address, telephone number or credit card information. If the User wants to take full advantage of the sharing features offered, the Provider will also ask the User to create a publicly visible lnsideHlT profile which may include the User’s name and photo, and other identifying and personal information.
Information Obtained about the User
Provider may collect information about the Services that User utilizes and how User utilizes such information, such as when the User visits a website that utilizes Provider’s advertising Services or User views and interacts with Provider’s ads and content.
Provider may collect device-specific information, including but not limited to User’s hardware model, operating system version, unique device identifiers, and mobile network information including phone number. InsideHIT may associate User’s device identifiers or phone number with User’s lnsideHlT account.
When User utilizes Provider’s Services or views content provided by lnsideHlT, Provider may automatically collect and store certain information in server logs, in an effort to improve its Services and the User’s experience. This may include details of how User utilizes Provider’s Services such as User search queries, telephone log information such as User’s phone number, calling-party number, forwarding numbers, time and date of calls, duration of calls, SMS routing information and types of calls, internet protocol address, device event information such as crashes, system activity, hardware settings, browser type, browser language, the date and time of User’s request and referral URL, cookies that may uniquely identify User’s browser or User’s lnsideHlT account.
When User utilizes a location-enabled lnsideHlT Service, Provider may collect and process information about User’s actual location, like GPS signals sent by a mobile device. Provider may also use various technologies to determine location, such as sensor data from User’s device that may, for example, provide information on nearby Wi-Fi access points and cell towers.
Unique Application Numbers
Certain Services include a unique application number. This number and information about User’s installation (for example, the operating system type and application version number) may be sent to lnsideHlT when User installs or uninstalls that Service or when that Service periodically contacts Provider’s servers, such as for automatic updates.
Provider may collect and store information (including personal information) locally on User’s device using mechanisms such as browser web storage and application data caches.
Cookies and Anonymous Identifiers
How Provider Uses the Information it Collects
Provider uses the information it collects from all of it’s Services to provide, maintain, protect and improve them, to develop new ones, and to protect lnsideHlT and its Users. Provider also uses this information to offer User’s tailored content, such as giving User’s more relevant search results and ads. Provider may use the name User provides for User’s lnsideHlT account across all of the Services Provider offers that requires an lnsideHlT account. In addition, Provider may replace past names associated with User’s lnsideHlT account so that User is represented consistently across all Provider’s Services. If other Users already have User’s email, or other information that identifies User, Provider may show them your publicly visible lnsideHlT Profile information, such as your name and photo. When User contacts lnsideHlT, Provider may keep a record of your communication to help solve any issues User might be experiencing. Provider may use User’s email address to inform User about our Services, such as letting User know about upcoming changes or improvements. Provider uses information collected from cookies and other technologies, like pixel tags, to improve User’s user experience and the overall quality of Provider’s Services. For example, by saving language preferences, Provider will be able to have its Services appear in the language User prefers. When showing Users tailored ads, we will not associate a cookie or anonymous identifier with sensitive categories, such as those based on race, religion, sexual orientation or health. Provider may combine personal information from one Service with information, including personal information, from other lnsideHlT Services, for example to make it easier to share things with people you know. Provider will ask for User’s consent before using information for a purposes other than those that are set forth in this agreement. lnsideHlT processes personal information on its servers in many countries around the world. Provider may process User’s personal information on a server located outside the country where User resides.
Transparency and Choice
Individuals have different privacy concerns. Provider’s goal is to be clear about what information it collects, so that Users can make meaningful choices about how it is used. For example, User can review and control certain types of information tied to User’s lnsideHlT account, such as which categories of ads might be of interest to User. User can also opt out of certain lnsideHlT advertising Services at this level. User may use Provider’s editor to see and adjust how User’s lnsideHlT profile appears to particular individuals. User may control whom User shares information with. User may also set the browser to block all cookies, including cookies associated with Provider’s Services, or to indicate when a cookie is being set by Provider. However, many of Provider’s Services may not function properly if User’s cookies are disabled. For example, Provider may not remember User’s language preferences.
Information Users Share
Many of Provider’s Services allow Users to share information with others. When Users share information publicly, it may be indexable by search engines, including lnsideHlT. Provider’s Services provide Users with different options on sharing and removing User content.
Accessing and Updating User’s Personal Information
Whenever Users utilize Provider’s Services, the Provider will provide User with access to User’s personal information. If that information is wrong, Provider will provide ways to update such information quickly or to delete it – unless Provider has to keep that information for legitimate business or legal purposes. When updating User’s personal information, Provider may ask User to verify User’s identity before Provider can act on User’s request. Provider may reject requests that are unreasonably repetitive, require disproportionate technical effort (for example, developing a new system or fundamentally changing an existing practice), risk the privacy of others, or would be extremely impractical (for instance, requests concerning information residing on backup tapes). If Provider can provide information access and correction, Provider will do so at no charge, except where it would require a disproportionate effort. It is Provider’s intention to maintain its Services in a manner that protects information from accidental or malicious destruction. Because of this, after User deletes information from Provider’s Services, Provider may not immediately delete residual copies from its active servers and may not remove information from its backup systems.
Information Provider Shares
Provider does not share personal information with companies, organizations and individuals outside of lnsideHlT unless one of the following circumstances apply: With User’s consent Provider will share personal information with companies, organizations or individuals outside of lnsideHlT when Provider has User’s consent to do so. Provider requires opt-in consent for the sharing of any sensitive personal information. If User’s lnsideHlT account is managed for User by a domain administrator, the User’s domain administrator and resellers who provide User support to User’s organization may have access to User’s lnsideHlT account information (including User’s email and other data). User’s domain administrator may be able to: view statistics regarding User’s account, such as statistics regarding applications User installs, change User’s account password, suspend or terminate User’s account access, access or retain information stored as part of User’s account, receive User’s account information in order to satisfy applicable law, regulation, legal process or enforceable governmental request, restrict User’s ability to delete or edit information or privacy settings. Provider will provide personal information to its affiliates or other trusted businesses or persons to process it for Us, based on its instructions and in compliance with its policies and any other appropriate confidentiality and security measures. Provider will share personal information with companies, organizations or individuals outside of lnsideHlT if it has a good-faith belief that access, use, presentation or disclosure of the information is reasonably necessary to: meet any applicable law, regulation, legal process or enforceable governmental request, enforce applicable terms of Service, including investigation of potential violations, detect, prevent, or otherwise address fraud, security or technical issues, protect against harm to the rights, property or safety of lnsideHlT, its Users or the public as required or permitted by law. Provider may share aggregated, non-personally identifiable information publicly and with its partners – like publishers, advertisers or connected sites. For example, Provider may share information publicly to show trends about the general use of its Services. If InsideHlT is involved in a merger, acquisition or asset sale, it will continue to ensure the confidentiality of any personal information and give affected Users notice before personal information is transferred or becomes subject to different policies.
Provider works hard to protect lnsideHlT and its Users from unauthorized access to or unauthorized alteration, disclosure or destruction of information Provider holds. In particular, Provider encrypts many of its Services. Provider reviews its information collection, storage and processing practices, including physical security measures, to guard against unauthorized access to its systems. Provider restricts access to personal information to lnsideHlT employees, contractors and agents who need to know that information in order to process it for Provider, and who are subject to strict contractual confidentiality obligations and may be disciplined or terminated if they fail to meet these obligations.
Provider regularly reviews its compliance with its policies. Provider also adheres to several self-regulatory frameworks. For example, when Provider receives formal written complaints, Provider will contact the User who made the complaint to follow up. Provider will work with the appropriate regulatory authorities, including local data protection authorities, to resolve any complaints regarding the transfer of personal data that Provider cannot resolve with our Users directly.
Our policies may change from time to time. We will not reduce your rights under these policies without your consent. We will post any policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain Services, email notification of policy changes).
Using Provider’s Services
User must follow any policies made available to User within the Services. Don’t misuse Provider’s Services. For example, don’t interfere with Provider’s Services or try to access them using a method other than the interface and the instructions that Provider makes available. User may use Provider’s Services only as permitted by law, including applicable export and re-export control laws and regulations. Provider may suspend or stop providing its Services to User if User does not comply with Provider’s terms or policies or if Provider is investigating suspected misconduct. Using Provider’s Services does not give User ownership of any intellectual property rights in Provider’s Services or the content User accesses. User may not use content from Provider’s Services unless User obtains permission from its owner or is otherwise permitted by law. These terms do not grant User the right to use any branding or logos used in Provider’s Services. Don’t remove, obscure, or alter any legal notices displayed in or along with Provider’s Services. Provider’s Services display some content that is not the property of lnsideHlT (“Third Party Materials”). This content is the sole responsibility of the entity that makes it available. Provider may review content to determine whether it is illegal or violates Provider’s policies, and Provider may remove or refuse to display content that Provider reasonably believes violates Provider’s policies or the law. However, that does not necessarily mean that Provider reviews content, so please don’t assume that Provider does so. By utilizing Provider’s Services User acknowledges and agrees that the Provider is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or sites. Provider does not warrant or endorse and does not assume and will not have any liability or responsibility to User or any other person for any third party Services, third party materials or sites, or for any other materials, products or Services of third parties. Third Party Materials and links to other websites are provided solely as a convenience to User. In connection with User’s utilization of Provider’s Services, Provider may send User Service announcements, administrative messages, and other information. User may opt-out of some of those communications.
User’s lnsideHlT Account
User may need an lnsideHlT account in order to use some of Provider’s Services. User may create its own lnsideHlT account, or User’s lnsideHlT account may be assigned to User by an administrator, such as User’s employer or educational institution. lf User is using an lnsideHlT account assigned to User by an administrator, different or additional terms may apply and User’s administrator may be able to access or disable User’s account. If User learns of any unauthorized use of User’s password or account, User should contact InsideHIT (and their administrator if applicable) immediately.
Certain Accounts and Billing
Certain types of User’s lnsideHlT accounts will continue on a month-to-month (or year-to-year) basis unless and until User cancels User’s account or lnsideHlT terminates it. User may cancel User’s lnsideHlT account at any time. User must cancel User’s account before it renews each month (or annually if an annual term is in force) in order to avoid billing of the next month’s (or year’s) fees to User’s Payment Method. lnsideHlT will bill the monthly (or annual) membership fee to the Payment Method User provided to lnsideHlT during registration (or to a different Payment Method if User changes User’s account information). Provider may also periodically authorize User’s card in anticipation of account or related charges. ACCOUNT FEES AND CHARGES ARE FULLY EARNED UPON PAYMENT, PAYMENTS ARE NONREFUNDABLE, AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. ALL TRANSACTIONS ARE IN U.S. DOLLARS, AND USER IS RESPONSIBLE FOR ANY FOREIGN EXCHANGE BANK SERVICE FEES, IF ANY.
Right To Terminate
lnsideHlT reserves the right to terminate or restrict User’s use of lnsideHlT’s Service, without notice, for any or no reason whatsoever.
Provider shall respond to notices of alleged copyright infringement and shall terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act. Provider provides information to help copyright holders manage their intellectual property online. If User believes somebody is violating User’s (or others) copyrights, User should contact InsideHIT immediately.
User’s Content in our Services
Some of our Services allow Users to submit content. User retains ownership of any intellectual property rights that User holds in that content. In short, what belongs to User remains User’s. When User uploads or otherwise submits content to Provider, User gives lnsideHlT (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes Provider makes so that User’s content works better with Provider’s Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights User grants in this license are for the limited purpose of operating, promoting, and improving Provider’s Services, and to develop new ones. This license continues even if User should cease using Provider’s Services. Some Services may offer User ways to access and remove content that has been provided to that Service. Also, in some of Provider’s Services, there are terms or settings that narrow the scope of Provider’s use of the content submitted in those Services. User must be certain that User has the necessary rights to grant Provider a license for any content that User submits to Provider’s Services. If User submits feedback or suggestions about Provider’s Services, Provider may use User’s feedback or suggestions without obligation to User.
About Software in Provider’s Services
When a Service requires or includes downloadable software, this software may update automatically on User’s device once a new version or feature is available. Some Services may let User adjust its automatic update settings. lnsideHlT gives User a personal, worldwide, royalty-free, non-assignable and non-exclusive license to install and use the software provided to User by lnsideHlT as part of the Services, only on User’s computer system or mobile device. This license is for the sole purpose of enabling User to utilize and enjoy the benefit of the Services as provided by lnsideHlT, in the manner permitted by these terms. User may not copy, modify, distribute, sell, adapt or reproduce or lease any part of Provider’s Services, Logo Trademarks, Service Marks or included software, nor may User reverse engineer, translate, decompile, disassemble or attempt to extract the source code of that software, unless laws prohibit those restrictions or User has Provider’s written permission. For purposes of this Agreement, the software provided includes the physical media, if any, on which the software is provided to User as well as any related manuals, documents or other items or materials provided by or on behalf of Provider to run the software. User is granted a limited, personal, non-exclusive, royalty-free, non- transferable license to use and display the lnsideHlT word and logo trademarks and Service marks only in the form as provided and presented by Provider in the software, solely in connection with User’s use of the Provider’s software as herein authorized, provided that User complies with all provisions of this Agreement regarding the manner in which said logo trademarks and service marks may be used. User may not use such “Marks” for any other purpose. User may not alter in any way any “Mark”, including, without limitation, distorting, animating or changing the color, font or proportions of any “Mark”, or combining it with any other name, mark or logo. User acknowledges that Provider holds and retains all worldwide rights, title and interest in and to the “Marks”, and that all use of the “Marks” by User shall inure to the benefit of the Provider. User further acknowledges and agrees that User will not claim, whether in whole or in part, any rights in the “Marks”, and will do nothing to impair, in any way, the “Marks” or Provider’s rights in the “Marks”. User may not use the “Marks” in any manner what would be likely to cause confusion, mistake, or deception regarding whether the Provider sponsors or endorses User’s use of Provider’s software or whether the User’s use of the software is affiliated, associated, or connected with Provider. The User may not utilize the “Marks” to advertise, sell, market or otherwise distribute any products or Services. Under no circumstances shall Provider’s software or “Marks” be utilized in such a way as to, in Provider’s sole judgment, damage Provider’s goodwill. In the event Provider, in its sole judgment, believes that any of User’s uses of Provider’s software or “Marks” violate this provision, Provider reserves the right to terminate this Agreement or to notify User, and that User agrees to comply with this provision. For purposes of this Agreement, the term Software shall include all software, sample codes, screens, templates, designs, files, instructions, specifications, and other materials, if any, provided to User by Provider in connection with lnsideHlT. If User is required to make any programming changes in User’s internal hardware and software systems to enable User to install, use or remove Provider’s software, or any modification or upgrade thereof, such changes shall be solely at User’s cost and expense and at User’s sole risk. User’s failure to make any changes or upgrades as required by Provider may result in User being unable to continue utilizing the software and services provided. Open source software is important to Provider. Some software used in Provider’s Services may be offered under an open source license that Provider will make available to User. There may be provisions in the open source license that expressly override some of these terms.
Modifying and Terminating Provider’s Services
Provider is constantly changing and improving its Services. Provider reserves the right to unilaterally terminate this Agreement and the use of its software, materials etc. at any time and for any reason. This Agreement is effective until terminated by either User or Provider. This Agreement will terminate independently without notice if User fails to comply with any provision of this Agreement or any instructions regarding the software, materials or the “Marks”. User may stop utilizing Provider’s Services at any time. Provider may also stop providing certain or all Services to User, or add or create new limits to Provider’s Services at any time. Provider believes that User owns User’s data, and presenting User’s access to such data is important. If Provider discontinues certain or all Services, Provider will give User reasonable notice, and an opportunity to remove User information from our Services.
Provider’s Warranties and Disclaimers
Provider provides its Services using a reasonable level of skill and care and Provider hopes that Users will enjoy utilizing them. However, there are certain things that Provider does not promise about its Services. User expressly acknowledges and agrees that the software, materials and any limited support, if any, that are being provided by lnsideHlT are at User’s sole risk. User further acknowledges that Provider: EXPRESSLY DISCLAIMS AND EXCLUDES ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER lnsideHlT NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET USER’S NEEDS. SERVICES ARE PROVIDED “AS IS”. SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
Liability for our Services
When permitted by law, InsideHIT and InsideHIT’s suppliers and distributors: WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL PROVIDER OR ANY OF ITS PARENT CORPORATION, SUBSIDIARIES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, BRANCHES, SUPPLIERS OR DISTRIBUTORS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES IN TORT, CONTRACT, PRODUCT LIABILITY OR UNDER ANY OTHER THEORY OF LAW RESULTING FROM THE INSTALLATION OR REMOVAL OF PROVIDER’S SOFTWARE OR THE MATERIALS, OR USER’S UTILIZATION, OR INABILITY TO UTILIZE THE SOFTWARE, “MARKS”, OR MATERIALS, OR RESULTING FROM THE LIMITED SUPPORT SERVICES, IF ANY, PROVIDED BY InsideHIT HEREUNDER, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM LOSS OF USE, PROFITS, DATA OR BUSINESS, AND DAMAGE TO USER’S INTERNAL COMPUTER SYSTEMS OR MOBILE DEVICES EVEN IF PROVIDER, OR ANY AUTHORIZED REPRESENTATIVE OF PROVIDER, HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF InsideHIT, AND ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIM UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT USER PAID PROVIDER TO USE THE SERVICES (OR, IF PROVIDER CHOOSES, TO SUPPLY USER THE SERVICES AGAIN). IN ALL CASES, InsIdeHIT, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
Business uses of Provider’s Services
If User is utilizing Provider’s Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify lnsideHIT and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.
About these Terms
Provider may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to Provider’s Services. User should look at the terms regularly. Provider will post notice of modifications to these terms on this page, and in most cases these terms will become effective immediately upon publication. If User does not agree to the modified terms for a Service, User should discontinue use of that Service. If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict. These terms control the relationship between lnsideHlT and the User. They do not create any third party beneficiary rights. If User does not comply with these terms, and Provider does not take action right away, such inaction does not mean that Provider is waiving any rights that it may have to take such action (such as taking action in the future). If it turns out that a particular term outlined herein is not enforceable, this shall not affect any other terms or conditions contained herein. The laws of the State of Florida, U.S.A., excluding Florida’s conflict of laws rules, will apply to any disputes arising out of or relating to these terms or the Services. All claims arising out of or relating to these terms or the Services will be litigated exclusively in the Federal or State courts of the State of Florida, USA, and User and lnsideHlT consent to personal jurisdiction in only those courts.
This Agreement is the complete agreement between Provider and User, and replaces any prior oral or written communications between Provider and User. There are no conditions, understandings, agreements, representations, or warranties, expressed or implied, which are not specified herein. THIS AGREEMENT MAY ONLY BE MODIFIED BY A WRITTEN AGREEMENT EXECUTED BETWEEN PROVIDER AND USER.
